1. Acceptance of Terms

By accessing or using the products, services, or website of BeingHD Technology Co., Ltd. ("BeingHD", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our products or services.

2. Description of Services

BeingHD specializes in the design, manufacture, and delivery of custom AV matrix systems and smart conference room solutions for global enterprises, government agencies, and educational institutions. Our services include:

• Custom AV matrix system design and manufacturing
• Smart conference room solution integration and installation
• Technical support and maintenance services
• Training and consultation for AV system operation

2.1 Service Customization

All AV solutions are tailored to the specific needs of the Client, as outlined in the signed service agreement or purchase order. BeingHD reserves the right to make reasonable adjustments to the solution design to ensure compliance with industry standards and technical feasibility.

3. Payment Terms

All payments for BeingHD products and services shall be made in accordance with the payment schedule specified in the purchase order or service contract. Payment methods include wire transfer, letter of credit, or other mutually agreed methods.

3.1 Payment Schedule

• 30% deposit upon signing the contract
• 60% payment before delivery of products
• 10% final payment upon completion of installation and acceptance

3.2 Late Payments

Any overdue payments shall incur a late fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance. BeingHD reserves the right to suspend or terminate services for non-payment.

4. Delivery and Acceptance

4.1 Delivery Terms

Delivery shall be made in accordance with Incoterms 2020 (e.g., FOB Shenzhen, CIF Client's designated port) as specified in the purchase order. BeingHD shall provide tracking information and shipping documents upon dispatch of goods.

4.2 Acceptance Criteria

The Client shall inspect the products within 7 business days of delivery/installation. Acceptance shall be deemed complete if the Client does not notify BeingHD of any defects or non-conformities within this period. All products comply with ISO 9001 quality standards and relevant industry certifications (CE, FCC, RoHS).

5. Warranty and Liability

5.1 Product Warranty

BeingHD warrants all products to be free from defects in materials and workmanship for a period of 12 months from the date of delivery. This warranty does not cover damages caused by improper use, modification, or external factors (e.g., power surges, physical damage).

5.2 Limitation of Liability

BeingHD's total liability for any claims arising from the use of our products or services shall not exceed the total amount paid by the Client for the relevant products/services. BeingHD shall not be liable for indirect, consequential, or incidental damages (e.g., loss of business, lost profits).

6. Intellectual Property

All intellectual property rights (including patents, copyrights, trademarks, and trade secrets) in BeingHD's products, designs, and software shall remain the exclusive property of BeingHD. The Client is granted a non-exclusive, non-transferable license to use the products for their intended purpose only.

The Client shall not reverse engineer, modify, or reproduce any BeingHD products or software without prior written consent.

7. Termination

Either party may terminate this agreement with written notice if the other party breaches any material term and fails to remedy the breach within 30 days of receiving notice. Upon termination, the Client shall pay all outstanding amounts, and BeingHD shall cease all services and support.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China (excluding conflict of laws principles). Any disputes arising out of or in connection with these Terms shall be resolved through amicable negotiation. If negotiation fails, disputes shall be submitted to the Shenzhen International Arbitration Court (Shenzhen Court of International Arbitration) for arbitration in accordance with its rules.

The arbitration award shall be final and binding on both parties. The prevailing party shall be entitled to recover reasonable legal fees and costs.

9. General Provisions

9.1 Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior oral or written agreements, understandings, or representations.

9.2 Amendments

Any amendments to these Terms must be in writing and signed by both parties. BeingHD may update these Terms for its website services from time to time; updated Terms shall take effect 30 days after posting on our website.

9.3 Notices

All notices shall be sent to the contact information specified in the purchase order/contract (or updated contact information provided in writing). Notices sent by email shall be deemed received upon transmission; notices sent by registered mail shall be deemed received 3 business days after posting.
